Welcome to The Reputation Rehab Center (“RRC,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, products, and services (collectively, the “Services”). By using the Services, you agree to these Terms.

1) Eligibility & Acceptance

By accessing or using the Services, you confirm that you have the authority to bind the business or organization you represent, and that you accept and agree to comply with these Terms and all applicable laws.
If you do not agree, you may not use the Services.


2) Scope of Services

The Reputation Rehab Center provides digital marketing and automation services designed to help businesses improve their online presence, reputation, and customer engagement. Services may include:

Online reputation management and review-generation workflows

Automated messaging, chat widgets, and AI receptionist tools

Website design, funnel building, hosting coordination, and maintenance

Local SEO, listings management, and analytics reporting

Social media content management and automated posting

CRM setup, customer follow-up automation, and lead capture funnels

Ecommerce setup and digital business gift card systems

The exact scope, deliverables, timelines, responsibilities, and pricing are outlined in your order form, proposal, or invoice (collectively, the “Order”).
If there is a conflict, the Order prevails.


3) Client Responsibilities

You agree to:

Provide accurate business details, brand assets, and timely approvals

Maintain valid access to required platforms (Google Business Profile, hosting, social channels, CRM, etc.)

Ensure compliance with local marketing, messaging, and advertising laws applicable to your industry

Maintain accurate customer contact lists with proper consent for messaging

Review deliverables promptly; delays may extend timelines

We are not responsible for delays caused by missing access, inaccurate information, or lack of approvals.


4) Fees, Billing & Payment

Unless otherwise stated:

Services are billed in advance on a monthly subscription basis

Setup fees, add-ons, or one-time charges are billed separately

Payments are due upon receipt

Late payments may result in paused Services

Third-party fees (hosting, domains, ads, SMS credits, premium plugins, etc.) are your responsibility unless included in the Order

All fees are exclusive of applicable taxes


5) Term, Renewal & Cancellation

Subscriptions are month-to-month unless otherwise defined in the Order

Subscriptions renew automatically each month

You may cancel by emailing [email protected] at least 7 days prior to your next billing date

Cancellations take effect at the end of the current paid term

Due to the nature of digital services, fees already paid are non-refundable unless required by law

RRC may suspend or terminate Services due to non-payment, misuse, or violation of these Terms


6) Intellectual Property

Your Materials:
You retain ownership of your existing logos, trademarks, content, and data. You grant RRC a license to use these solely to perform the Services.

RRC Materials:
We retain ownership of proprietary workflows, automations, templates, software setups, designs, and know-how. Unless your Order states otherwise, certain digital assets (such as automations, CRM setups, proprietary templates, or platform-specific configurations) may not be transferrable upon cancellation.

Upon request, you may receive an export of website content we created for you (HTML/CSS, images licensed to you, and text).

Third-Party Assets:
Stock images, themes, plugins, or external licenses are governed by their respective terms.


7) Confidentiality & Privacy

Each party agrees to keep the other’s non-public information confidential and to use it only for performance under these Terms.
We handle personal information in accordance with our Privacy Policy.
You are responsible for maintaining proper consent for any contact information you upload into our systems.


8) Communications, Email & SMS

By using the Services and providing contact information, you confirm that:

You have obtained necessary consent to send SMS or email messages

Your messaging content complies with applicable regulations (CASL, TCPA, CTIA, carrier requirements)

You will honor opt-out requests (“STOP”) immediately

Message and data rates may apply.
You are responsible for the accuracy and legality of your contact lists.


9) Third-Party Platforms & Integrations

Our Services may integrate with external platforms including, but not limited to:

Google

Meta (Facebook/Instagram)

GoHighLevel (GHL)

WordPress

Hosting providers

Payment gateways

CRM and messaging platforms

We are not responsible for downtime, changes, data practices, or policies of third-party providers.
Your use of these platforms is governed by their own terms.


10) Compliance & Acceptable Use

You agree not to:

Engage in unlawful, deceptive, or misleading marketing

Upload spam, prohibited content, or unconsented contact lists

Misuse automation tools, review systems, or messaging platforms

Violate advertising rules applicable to your profession or region

We reserve the right to suspend or remove content that violates these Terms or applicable laws.


11) Disclaimers & No Warranties

The Services are provided “as is” and “as available.”
To the fullest extent permitted by law, RRC disclaims all warranties, express or implied.

Marketing outcomes depend on many factors outside our control, including industry competition, budget, customer behaviour, local market conditions, and client responsiveness. No specific results are guaranteed.


12) Limitation of Liability

To the maximum extent permitted by law:

RRC is not liable for indirect, incidental, special, punitive, or consequential damages

RRC is not liable for loss of profits, data, revenue, or goodwill

Total liability for any claim will not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim


13) Indemnification

You agree to indemnify and hold harmless RRC and its team from claims, damages, liabilities, and expenses arising from:

Your data, content, or contact lists

Your breach of these Terms

Your violation of laws or third-party rights

Your misuse of the Services


14) Changes to Services or Terms

We may update features, functionality, or these Terms from time to time.
Material updates will be posted on this page with a revised “Last updated” date.
Continued use of the Services after updates constitutes acceptance.


15) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia, and applicable federal laws of Canada.
Parties agree to attempt good-faith resolution of disputes before pursuing legal action.
The courts of British Columbia shall have exclusive jurisdiction.
